1. Introduction
Welcome to VPSBangladesh. These Terms and Conditions explain the rules, responsibilities, limitations, and service conditions that apply when you purchase or use our VPS, cloud VPS, BDIX VPS, Windows VPS, Managed VPS, cPanel VPS, Dedicated Core VPS, dedicated server, or related hosting services.
By ordering, renewing, accessing, or using our services, you agree to follow these Terms and Conditions, our billing rules, acceptable use rules, and any service-specific conditions shown during checkout, invoice, proposal, or support communication.
If you do not agree with these Terms, please do not order or use our services.
2. Definitions
For this page:
- “VPSBangladesh”, “we”, “our”, or “us”
- The service provider operating VPSBangladesh.com and related service portals.
- “Customer”, “client”, “you”, or “your”
- The person, business, or organization purchasing or using our services.
- “Service”
- VPS, cloud VPS, BDIX VPS, Windows VPS, Managed VPS, cPanel VPS, Dedicated Core VPS, dedicated server, IP address, control panel, software license, support, or any related hosting service provided by us.
- “Client Area”
- The billing and service management portal used for orders, invoices, support tickets, service details, and account communication.
- “WHMCS”
- The billing/order system used to manage orders, invoices, renewals, and service records.
- “Backup”
- A copy of data, files, databases, configurations, or system content stored separately for recovery purposes.
3. Service Scope
VPSBangladesh provides VPS and server-related services based on the plan, product, location, operating system, control panel, license type, and management level selected by the customer.
Our services may include, depending on the product:
- BDIX VPS
- Cheap Cloud VPS
- Premium Cloud VPS
- Windows VPS
- Managed VPS
- cPanel VPS
- Dedicated Core VPS
- Dedicated Server
- IP address allocation
- Operating system installation
- Basic provisioning
- Control panel or license setup where applicable
- Support according to the selected service type
Each service has its own specifications, price, renewal term, limitations, and support scope. The final service details are based on the order page, invoice, selected plan, and service information shown in the client area.
4. Customer Responsibility
You are responsible for how your VPS, server, website, application, account, and data are used.
You must:
- keep your login credentials secure
- use strong passwords and SSH keys where applicable
- keep operating systems, panels, scripts, CMS, plugins, and software updated
- manage your own data, applications, files, databases, and configurations
- maintain your own backups unless a written backup service is included
- follow applicable laws and acceptable use rules
- avoid abusive, illegal, harmful, or resource-abusive activity
- review invoices, renewal dates, and service notices
You are responsible for all activity performed through your account, VPS, server, IP address, control panel, or login credentials.
5. VPS Backup Policy
Customer-managed backup responsibility
Unless a backup service is clearly included in your selected plan or separately purchased in writing, you are fully responsible for maintaining your own backups.
This includes backups of:
- website files
- databases
- emails, if hosted on the VPS
- application code
- operating system configuration
- control panel configuration
- SSL files or keys
- custom software
- scripts and automation
- user-uploaded content
- business data
- any other important data stored on the VPS
You should keep backups outside the same VPS. A good practice is to keep at least one off-server backup in a different storage location, such as remote storage, object storage, another server, or your own backup system.
No automatic VPS backup guarantee
VPSBangladesh does not guarantee automatic backups for VPS services unless the plan, invoice, written agreement, or service description explicitly says backup is included.
If backup is not included, we may not be able to restore your data after:
- accidental deletion
- wrong command execution
- malware infection
- hacked application
- disk corruption
- filesystem damage
- operating system failure
- control panel failure
- software misconfiguration
- failed update
- customer-side mistake
- server disaster
- hardware failure
- suspension, cancellation, or termination
Backup verification
Having a backup is not enough. You should regularly test whether your backup can actually be restored.
We recommend customers keep:
- daily or frequent backups for business-critical data
- database backups before major updates
- application backups before deployment
- off-site backups outside the VPS
- at least one recent full backup
- backup access credentials stored safely
6. Disaster Recovery and Data Loss
VPS and server services may face unexpected incidents, including hardware failure, network issues, software crash, disk failure, datacenter incident, power issue, operating system corruption, cyberattack, or human error.
VPSBangladesh will make reasonable efforts to restore service availability where possible. However, unless backup service is explicitly included, we do not guarantee recovery of customer data.
In a disaster scenario, our responsibility is limited to the service infrastructure scope that we control. Customer data, applications, files, database content, system configuration, and business records remain the customer’s responsibility unless a separate written managed backup or disaster recovery service is included.
7. Hardware Failure Policy
If a VPS host server, storage device, hardware component, or related infrastructure suffers a hardware-level issue, VPSBangladesh will investigate and take reasonable steps to restore service.
Depending on the incident, we may:
- repair the affected infrastructure
- move the VPS to another available node if technically possible
- recreate the VPS environment
- provide a fresh VPS replacement
- assign a replacement service with similar package resources where available
8. Customer Data Responsibility
Customer data belongs to the customer. The customer is responsible for protecting, backing up, and maintaining their own data.
VPSBangladesh is not responsible for data loss caused by:
- customer mistake
- weak password
- compromised account
- malware or exploit
- outdated CMS, plugin, script, or software
- wrong server command
- incorrect configuration
- deleted files
- database corruption
- operating system damage
- third-party software failure
- third-party license issue
- suspension or termination
- unpaid invoice
- force majeure event
- hardware failure where backup service is not included
We strongly advise every customer to maintain independent backups before using a VPS for production workloads.
9. Managed VPS Support Scope
Managed VPS support applies only if you purchase a Managed VPS plan or receive written confirmation of a managed support scope.
Managed support may include selected server-side assistance depending on the plan, such as basic server setup, control panel guidance, service-level troubleshooting, or configuration help.
Managed support does not automatically include:
- guaranteed website development
- custom application debugging
- third-party code fixing
- malware cleanup unless separately included
- data recovery
- backup restoration if no backup exists
- unsupported software troubleshooting
- custom DevOps or deployment work
- unlimited system administration tasks
- recovery from customer-side destructive commands
The exact scope depends on the plan, service description, and written communication.
10. Unmanaged VPS Support Scope
Unless a service is clearly marked as managed, VPS services are generally self-managed.
For unmanaged VPS, you are responsible for:
- operating system administration
- software installation
- security hardening
- firewall rules
- website/application deployment
- database management
- updates and patches
- backup setup
- monitoring
- troubleshooting inside the VPS
- application performance tuning
For unmanaged VPS, our support is generally limited to:
- service provisioning
- network reachability from our side
- billing and account issues
- basic service status check
- hardware/node-level issues that we control
We may provide best-effort guidance, but we are not required to manage, repair, or maintain your internal VPS environment unless you purchased managed service.
11. Operating System, Software, and Licensing
You are responsible for using properly licensed software inside your VPS or server.
This may include operating system license where applicable, Windows license, cPanel license, commercial software license, third-party plugin or script license, and application license.
Where VPSBangladesh provides a license as part of a plan, the license is subject to the terms and restrictions of the respective software vendor. License availability, account limits, pricing, and policy may change based on vendor rules.
If a third-party vendor changes license price, license limit, product availability, or usage condition, VPSBangladesh may update the related service price, terms, or availability.
12. Acceptable Use Policy
You must not use our services for illegal, harmful, abusive, or prohibited activity.
Prohibited activities include, but are not limited to:
- phishing
- malware hosting
- botnet activity
- spam or unsolicited bulk email
- email abuse
- network abuse
- DDoS attack or participation
- port scanning without authorization
- credential theft
- copyright-infringing content
- child exploitation content
- financial scams
- fake login pages
- impersonation
- illegal proxy or tunneling activity
- abusive cryptocurrency mining
- hosting content that violates applicable law
- activities that damage our network, IP reputation, or other customers
We may suspend, restrict, or terminate services involved in abuse, security incidents, illegal activity, or serious policy violations.
13. Resource Usage and Fair Use
Your VPS or server resources must be used in a reasonable and fair manner.
Even if a plan shows “unlimited traffic” or similar wording, it may still be subject to fair use, network protection, abuse prevention, and technical limitations.
You must not use services in a way that harms node stability, abuses network capacity, impacts other customers, causes IP blacklisting, creates security risk, violates datacenter or upstream provider policy, continuously overloads shared infrastructure, or bypasses product limits.
If resource usage creates a problem, we may contact you, limit the service, suspend the service, request upgrade, or take necessary action to protect the platform.
14. IP Address Policy
IP addresses are assigned for service use and remain under the control of VPSBangladesh or its upstream provider.
We may change, replace, remove, or renumber IP addresses if required by technical issue, abuse issue, datacenter policy, routing change, provider requirement, IP reputation issue, service migration, or legal or operational need.
Customers must not use IP addresses for abusive, illegal, spam, phishing, or reputation-damaging activity.
15. Billing, Renewal, and Payment
You are responsible for paying all invoices on or before the invoice due date shown in the client area.
Service activation, renewal, suspension, termination, cancellation, and data availability depend on payment status.
15.1 Invoice Due Date
For some VPS services, especially non-BDIX VPS services that depend on upstream provider billing or cancellation windows, the invoice due date may be set before the actual end of the service billing period.
Except for BDIX VPS, VPSBangladesh may set the invoice due date up to 4 days before the end of the active billing period. This is done so renewal, cancellation, suspension, and upstream service management can be handled on time.
You should always follow the due date shown on the invoice and in the client area.
15.2 Non-BDIX VPS Suspension and Termination Timeline
For VPS services except BDIX VPS, the following timeline may apply:
- Invoice due date: Payment must be completed on or before this date.
- 2 days after due date: The VPS may be suspended if the invoice remains unpaid.
- 4 days after due date: The VPS may be terminated, cancelled, erased, or permanently removed if the invoice remains unpaid.
After termination or erasure, the VPS and its data may not be recoverable.
This means if you do not pay within the allowed time after the due date, your VPS may be permanently deleted. A new VPS may need to be ordered again, and old data may not be restored unless you have your own backup.
15.3 BDIX VPS Billing
BDIX VPS may follow a separate billing, suspension, and termination policy depending on local infrastructure, service type, and operational rules. However, you must still pay invoices on or before the invoice due date shown in the client area.
15.4 Customer Backup Responsibility Before Suspension or Termination
Before any invoice becomes overdue, you should make sure your important data is backed up outside the VPS.
If a VPS is suspended, terminated, cancelled, erased, or removed due to unpaid invoice, VPSBangladesh is not responsible for data loss, business loss, website downtime, application downtime, database loss, or any other loss resulting from non-payment.
You are responsible for keeping your own off-server backups.
15.5 Late Payment
Late payment may not always restore a suspended or terminated VPS.
If the VPS is only suspended and still recoverable, we may reactivate it after invoice payment, subject to service availability and our operational process.
If the VPS has already been terminated, cancelled, erased, or removed, payment after termination may not restore the old VPS or its data.
15.6 Important Billing Rules
Important billing rules include:
- invoices must be paid before the due date
- unpaid invoices may cause suspension
- non-BDIX VPS services may have due dates set before the actual billing period ends
- non-BDIX VPS services may be suspended 2 days after due date
- non-BDIX VPS services may be permanently terminated or erased 4 days after due date
- terminated VPS data may not be recoverable
- renewal pricing may change
- currency conversion may affect final billing
- promotional discounts may apply only for the stated term
- third-party license price changes may affect renewal price
- taxes, gateway fees, or payment processing charges may apply where applicable
Paying late may result in service interruption or permanent service loss. We are not responsible for loss caused by suspension, termination, cancellation, or data deletion due to unpaid invoice.
16. Suspension and Termination
For non-BDIX VPS services, termination may happen quickly because of upstream provider billing and cancellation timelines. If an invoice remains unpaid, the VPS may be suspended 2 days after the due date and permanently terminated, cancelled, erased, or removed 4 days after the due date. After this point, data recovery may not be possible.
We may suspend or terminate a service if:
- invoice remains unpaid
- service is used for abuse
- customer violates these Terms
- service creates network or security risk
- customer provides false or misleading information
- customer fails to respond to abuse or security notice
- legal request or upstream provider request requires action
- service causes harm to VPSBangladesh, other customers, or third parties
After termination, data may be permanently deleted. You should keep your own backup before service cancellation or termination.
17. Cancellation and Refund
Cancellation and refund eligibility depend on the selected service type, billing term, product condition, license involvement, resource allocation, and published refund policy.
Some services may be non-refundable after activation, especially where third-party license cost is involved, Windows/cPanel/license cost is already provisioned, dedicated resource is allocated, setup or provisioning cost is incurred, abuse or terms violation occurred, or service was suspended or terminated for policy breach.
Please review the refund policy before ordering.
18. Support Communication
Support communication should be made through official channels such as ticket, client area, live chat, phone, or official email.
For technical support, provide relevant details such as service name, VPS IP address, domain name, operating system, control panel, error message, screenshot if available, steps already taken, and urgency level.

19. Security Responsibility
You are responsible for securing your VPS, server, website, application, control panel, database, and user accounts.
You should use strong passwords, use SSH keys where possible, keep software updated, disable unused services, configure firewall rules, use security monitoring where needed, restrict admin access, keep backup access secure, and avoid installing untrusted software.
If your VPS is compromised, you are responsible for cleanup unless managed security or cleanup service is explicitly included.
20. Third-Party Providers and Datacenter Dependency
Some services may rely on third-party datacenters, upstream providers, license vendors, payment gateways, registries, network providers, or software vendors.
Service availability may be affected by upstream network issue, datacenter hardware issue, power issue, license vendor change, software vendor policy, registrar/registry issue, payment gateway issue, international routing problem, or force majeure event.
We are not responsible for third-party failures beyond our reasonable control, but we will take reasonable steps to communicate and resolve issues where possible.
21. Limitation of Liability
To the maximum extent permitted by applicable law, VPSBangladesh is not liable for indirect, incidental, consequential, special, punitive, or business losses, including but not limited to data loss, revenue loss, profit loss, business interruption, reputation loss, customer loss, SEO ranking loss, application downtime, email delivery issue, software failure, missed opportunity, or loss caused by customer-side misconfiguration.
Our liability for any claim is limited to the amount paid by the customer for the affected service during the relevant billing period, unless otherwise required by applicable law.
22. No Guarantee of Continuous Availability
We aim to provide reliable services, but no VPS, server, network, software, or datacenter environment can be guaranteed to be completely uninterrupted, error-free, or disaster-proof.
Service interruptions may occur due to maintenance, upgrades, hardware failure, software issue, security incident, network outage, upstream issue, or emergency action.
23. Maintenance
We may perform maintenance to improve service stability, security, performance, or infrastructure condition.
Maintenance may be scheduled or emergency-based. Where possible, we will try to notify customers in advance, but emergency maintenance may be performed without prior notice if required to protect service security or stability.
24. Changes to Service, Price, and Terms
We may update services, prices, product features, billing rules, or these Terms when needed for currency change, upstream provider change, license vendor pricing change, datacenter cost change, abuse prevention, policy improvement, legal or regulatory requirement, or technical or business need.
Continued use of the service after changes means you accept the updated terms.
25. Governing Law
These Terms are intended to be governed by the laws of Bangladesh, unless a separate written agreement states otherwise.
Any dispute should first be handled through good-faith communication with VPSBangladesh support or management. If a dispute cannot be resolved informally, it may be handled under the appropriate legal process in Bangladesh.
